Apps made available through the App Store are licensed, not sold, to you. Your license to the Linkt app is subject to your acceptance of this EULA. This EULA agreement governs your acquisition and use of our Linkt software ("Software" or "Licensed Application") directly from Command B Limited or indirectly through an authorized reseller or distributor. Please read this EULA agreement carefully before completing the installation process and using the Linkt software. It provides a license to use the Linkt software and contains warranty information and liability disclaimers. By clicking "accept" or installing and/or using the Linkt software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement. If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement. ## Scope of License Command B Limited hereby grants you a personal, non-transferable, non-exclusive license to use the Linkt software on any Apple-branded or Android devices that you own or control and as permitted by the applicable app store Usage Rules. The terms of this EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Command B Limited that replace or supplement the original Licensed Application. You are permitted to load the Linkt software on devices under your control. You are responsible for ensuring your device meets the minimum requirements of the Linkt software. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Application and, if you sell your device to a third party, you must remove the Licensed Application from the device before doing so. ## Restrictions You are not permitted to: - Copy (except as permitted by this license and the Usage Rules), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof - Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software - Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose beyond your personal use - Allow any third party to use the Software on behalf of or for the benefit of any third party - Use the Software in any way which breaches any applicable local, national or international law - Use the Software for any purpose that Command B Limited considers is a breach of this EULA agreement ## Consent to Use of Data You agree that Command B Limited may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Command B Limited may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you. For more details, please see our Privacy Policy. ## Intellectual Property and Ownership Command B Limited shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Command B Limited. Command B Limited reserves the right to grant licenses to use the Software to third parties. ## External Services The Licensed Application may enable access to Command B Limited's and/or third-party services and websites (collectively and individually, "External Services"). You agree to use the External Services at your sole risk. Command B Limited is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by Command B Limited or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this EULA or that infringes the intellectual property rights of Command B Limited or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Command B Limited is not responsible for any such use. Command B Limited reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you. ## Subscription Policy If you purchase a subscription to Linkt, the following terms apply: - Subscriptions will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period - Your account will be charged for renewal within 24 hours prior to the end of the current period - You can manage your subscription and turn off auto-renewal in your Account Settings after purchase - Any unused portion of a free trial period will be forfeited when you purchase a subscription If a "Lifetime" subscription is offered: - "Lifetime" access means access to the product or service for as long as we continue to offer and support it. If the product or service is discontinued, access will end at that time - We reserve the right to modify, replace, or discontinue any lifetime product or service at our sole discretion - Lifetime subscriptions do not guarantee indefinite access and do not entitle the subscriber to a refund, credit, or compensation if the product or service is discontinued - Lifetime access includes only the core features available to all users at the time of purchase. Any new features, enhancements, or premium tiers introduced later may require additional payment - Lifetime access is non-transferable and may be limited to specific platforms or devices - Access may be revoked without refund if the subscriber violates our Terms of Use or other policies ## Additional Terms for Apple App Store Users If you downloaded this Licensed Application from the Apple App Store, the following additional terms apply: ### 1. Acknowledgement You and the End-User acknowledge that this EULA is concluded between Command B Limited and the End-User only, and not with Apple. Command B Limited, not Apple, is solely responsible for the Licensed Application and its content. The End-User's use of the Licensed Application must comply with the Usage Rules set forth in the Apple Media Services Terms and Conditions. ### 2. Scope of License (Apple Devices) The license granted to the End-User for the Licensed Application is a non-transferable license to use the Licensed Application on any Apple-branded product that the End-User owns or controls and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license also permits access by other accounts associated with the purchaser via Family Sharing. ### 3. Maintenance and Support Command B Limited is solely responsible for providing any maintenance and support services for the Licensed Application, as required under applicable law. You and the End-User acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application. ### 4. Warranty Acknowledgement Command B Limited is solely responsible for any product warranties, whether express or implied by law, to the extent they have not been effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, the End-User may notify Apple, and Apple will refund the purchase price (if any) for the Licensed Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty will be the sole responsibility of Command B Limited. ### 5. Product Claims You and the End-User acknowledge that Command B Limited, not Apple, is responsible for addressing any claims from the End-User or any third party relating to the Licensed Application or the End-User's possession and/or use of the Licensed Application. This includes, without limitation: - product liability claims; - any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and - claims arising under consumer protection, privacy, or similar legislation. ### 6. Intellectual Property Rights You and the End-User acknowledge that, in the event of any third-party claim alleging that the Licensed Application or the End-User's possession and use of the Licensed Application infringes that third party's intellectual property rights, Command B Limited, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim. ### 7. Legal Compliance (U.S. Requirements) The End-User represents and warrants that: - they are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and - they are not listed on any U.S. Government list of prohibited or restricted parties. ### 8. Third-Party Terms of Agreement The End-User must comply with applicable third-party terms of agreement when using the Licensed Application. For example, if the Licensed Application uses VoIP, the End-User must not violate their wireless data service agreement while using the Licensed Application. ### 10. Third-Party Beneficiary You and the End-User acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA. Upon the End-User's acceptance of the terms of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against the End-User as a third-party beneficiary. ## NO WARRANTY YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND COMMAND B LIMITED HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NONINFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY COMMAND B LIMITED OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU. ## Limitation of Liability TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL COMMAND B LIMITED BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF COMMAND B LIMITED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall Command B Limited's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of fifty euros (€50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose. ## Export Restrictions You may not use or otherwise export or re-export the Licensed Application except as authorized by Irish law, European Union law, and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any EU-embargoed countries or (b) to anyone on applicable restricted parties lists. By using the Licensed Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by applicable law. ## Termination This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Command B Limited. This EULA will terminate automatically if you fail to comply with any of its terms. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement. ## Governing Law This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of Ireland. If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.
